1. The Service
nDesk provides an AI-powered chat widget that support teams install on their own websites. The Service answers visitor questions from content you provide โ help centre articles, docs, and past conversations โ and hands off to a human teammate when it can't help, along with a full transcript.
We may add, change, or remove features as the product evolves. We'll try to give notice of changes that materially reduce functionality you're actively paying for.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to create an account. You're responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
You're responsible for all activity that happens under your account, including actions taken by teammates you invite. Tell us immediately if you suspect unauthorised access.
3. Subscriptions, trials, and billing
Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at signup) until cancelled. Free trials convert to a paid subscription automatically at the end of the trial period unless you cancel first โ the trial length and terms in effect at signup control.
Fees are exclusive of taxes unless stated otherwise; you're responsible for any applicable sales, VAT, or similar taxes. Except where required by law or stated in a specific offer, fees already paid are non-refundable.
You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; we don't provide partial-period refunds.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, or the rights of any third party, including privacy and intellectual-property rights
- Upload malware, or attempt to gain unauthorised access to the Service, other accounts, or our infrastructure
- Train a competing product on our underlying models or systems, or resell the Service without our written permission
- Use the widget to deceive visitors about whether they're speaking with a human, where that would violate applicable law
- Send content that is unlawful, defamatory, or that infringes someone else's rights, through the widget's AI or human-handoff features
5. Your content and data
You retain ownership of the content you upload to power the assistant (help centre articles, docs, conversation transcripts) and of your customers' data collected through the widget. You grant us a licence to host, process, and use that content solely to provide and improve the Service for you.
See our Privacy policy (https://ndesk.chat/privacy) for details on how we and our subprocessors handle personal data, and our Cookie policy (https://ndesk.chat/cookie-policy) for what the widget and site set in visitors' browsers.
6. Intellectual property
nDesk, our logo, and the Service's underlying software are owned by nDesk (legal entity name to be confirmed) and protected by intellectual-property law. These terms don't grant you any rights to our trademarks or brand assets beyond what's needed to display the widget as intended.
7. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate access if you materially breach these terms and don't cure the breach within a reasonable period after notice, or immediately for conduct that creates legal or security risk for us or other users.
On termination, your right to use the Service ends; sections that by their nature should survive (ownership, disclaimers, limitations of liability) continue to apply.
8. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. AI-generated answers may be inaccurate โ you're responsible for reviewing how the assistant is configured and for the accuracy of the source content it draws from.
To the maximum extent permitted by law, nDesk (legal entity name to be confirmed) will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim is capped at the amount you paid us in the twelve months before the claim arose.
9. Governing law
These terms are governed by the laws of [jurisdiction to be confirmed], without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the courts of that jurisdiction.
10. Changes to these terms
We may update these terms from time to time. If a change is material, we'll notify account owners by email or in-product notice before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated terms.
